The provider's terms and conditions

The following are the terms and conditions (the "Provider Agreement") for a Provider's access to and use of an online platform (the "Platform") through which advice, consultancy, professional advice and any other information (collectively the "Provider Services"). A Provider (also referred to in this Provider Agreement as "you") is any advisor, consultant, practitioner, practitioner, expert, coach, adviser or any other person who signs up to provide Provider Services, through the use of the Platform , to any other person or persons (the "User" or "Users"). By accessing or using the Platform as a provider, or by clicking a button or box indicating that you have read and agree to the terms of use, you are entering into this Provider Agreement. If you do not agree to be bound by any term of this Provider Agreement, you must refrain from registering with the Platform as a Provider, you must stop using the Platform as a Provider, and you must not access the Platform as a Provider.

When the terms "we", "us", "our" or similar are used in this Agreement, they refer to any company that owns and operates the Platform (the "Company"), its affiliated companies and the shareholders, directors, officers , employees, consultants, contractors, subcontractors, agents, advisers, assigns and successors of the aforementioned companies.

Use of the platform

The features and functionality of the Platform will be determined solely by us and are subject to change or termination without notice.

Suppliers are not our employees or agents or representatives.

By accepting this agreement, you also agree to the terms of the platform's privacy policy available athttps://www.psintegra.com/politica-de-privacidad(the "Privacy Policy"). The Privacy Policy is incorporated into and deemed a part of this Provider Agreement. The same rules that apply with respect to changes and revisions to this agreement also apply to changes and revisions to the Privacy Policy. Regarding the Privacy Policy, the same rules and stipulations that apply to a User would also apply to a Provider.

Disclaimer and Limitation of Liability

The Provider acknowledges and agrees that the Platform is provided for your use "as is", and therefore, the Provider will not have any claim, claim or demand against us in relation to the users, members, properties, limitations or compatibility with the Platform. The Provider's needs The Provider will not have any reason, claim or demand against us with respect to the services that the Provider chooses to provide in connection with the use of the Platform. To the fullest extent of the law, we expressly disclaim all warranties of any kind, whether express or implied.

Registration, provision of Provider Services, and use of the Platform are at Provider's risk and expense, without warranties, including, but not limited to, warranties of merchantability, fitness for a particular purpose, non-infringement, compatibility, security or precision.

We expressly disclaim all guarantees of information published or transmitted by users and/or members of the Platform.

The Provider shall bear all risks associated with the uploading and transmission of the material and the use of the Platform, including any reliance on its accuracy, reliability or legality.

We will not be considered the provider or recipient of any service purchased through the Platform. Supplier provides supplier services at its sole and entire risk.

Under no circumstances will we be liable to any Provider for indirect, incidental, consequential, special, punitive, or exemplary damages, including, without limitation, lost business, revenue, profit, use, data, or other economic advantage.

Provider acknowledges and agrees that we disclaim any liability in connection with any claim, demand or action brought by a User in connection with a Provider's provision of Provider Services, including, without limitation, representations by Provider as to qualifications of the Provider and advice provided by him or her, through the Platform. The Provider agrees to indemnify and hold us harmless in connection with any claims and any damages or expenses arising therefrom.

The provider will be solely responsible for the agreements it chooses to make with a user. We will not be liable in any way for any agreement between a provider and a user or for the enforcement of any such agreement, including, without limitation, agreements regarding the provider's fees or the use of the platform in any way. that is not offered and suggested as the Service Provider on the Platform. Any agreement that a provider chooses to have with a User is entirely at their sole responsibility and risk.

The Provider acknowledges that it will be solely responsible for damages to any User to whom the Provider provides services and to any User who suffers damages arising out of or in connection with the services provided to that User by the Provider. In the event of a dispute regarding any transaction made through the Platform, the Provider releases us from all actions, claims or demands and from any and all losses (direct, indirect, incidental or consequential), damages, costs or expenses, including but not limited to court costs and attorney's fees, that Provider may have against one or more of the foregoing.

We will not be liable to you or to any third party for any indirect, incidental, consequential, special, punitive, or exemplary damages.

Our total liability for damages arising in connection with this agreement and any use of the Platform will not exceed the total amount of money paid by you or you through the Platform in the 3-month period prior to the date of the claim.

We explicitly disclaim any liability with respect to any claim, demand or action taken by a User. You agree to indemnify, defend, and hold us harmless from any such claim.

If applicable law does not allow the limitation of liability as set forth above, the limitation will be deemed modified only to the extent necessary to comply with applicable law.

This section (disclaimers and limitation of liability) shall survive the termination or expiration of this Agreement.

Representations and Warranties

You hereby confirm that you are at least 18 years of age and can legally enter into a contract.

You hereby confirm and agree that all information you provided on or through the Platform, and ​​the information you will provide on or through the Platform in the future , is accurate, true, current and complete. You further agree that during the term of this Agreement you will ensure that you maintain and update this information so that it remains accurate, current, and complete.

The Provider will not provide any Provider Services or advise any User unless the Provider is a licensed professional in good standing in the relevant field of expertise and complies with all relevant laws, rules and regulations, including but not limited to the rules ethics and professional responsibility.

At all times, the Provider will provide a correct and accurate representation of its skills, titles, qualifications, background and other information, whether this information is provided to us, to the User and in any forms submitted or submitted on the Platform. We cannot and will not verify the truth or accuracy of any details in the Provider's personal profile, credentials, qualifications or postings or transmissions. However, we may, at its sole discretion, remove or refuse to post or transmit any content uploaded by the Provider. Notwithstanding the foregoing, we remove any content for any reason. The Provider represents and warrants that it maintains and will continue to maintain adequate insurance if such insurance is required by applicable laws or regulations that apply to the provision of services by the Provider, including, without limitation, the appropriate professional liability insurance.

 

Supplier conduct

When providing provider services or making any other use of the platform, the provider must exercise a reasonable standard of care, at least the same as the provider in a similar transaction not carried out through the platform or the Internet. Notwithstanding the foregoing, the Provider must exercise the standard of care required by his profession. The provider will not provide users with any services other than Provider. The Provider will not provide Users with any services that cannot be legally rendered or provided through the Platform in accordance with the laws, regulations and ethical standards that apply in the Provider's jurisdiction. Provider will not diagnose, treat, test, advise, advise, recommend a course of treatment, or otherwise provide or perform any service that requires an in-person meeting with a User or an examination of a User._cc781905-5cde-3194- bb3b-136bad5cf58d_The Provider agrees that the Provider's Services, advice and information that he or she provides to a User, can in no way be considered a substitute for a face-to-face interaction between the User and the Provider (or any other professional). . The Provider will provide the Provider Services only on and in respect of non-emergency matters and matters. For emergency matters and problems, the Provider will instruct the User to immediately call 911 or the local emergency assistance number. The Provider agrees to never participate in the practice of medicine or establish a doctor / patient relationship with any User through the Platform. The provider will not prescribe or dispense medication. The Provider will inform the Users, when appropriate, that its advice is not a substitute for the advice or treatment of a doctor after the physical examination. Whenever appropriate, the provider will encourage users to seek help by meeting a qualified professional face-to-face. The Provider will not disclose any information provided to it by a User and will do its best to protect the Privacy Policy and Privacy of Users. All contact between the Provider, the Users and any other User or consumer that presents itself through the Platform must be made only through the assigned Platforms. The Provider may not use this Platform to solicit any illegal activity or other activity that infringes our rights or the rights of others. Supplier will indemnify, defend and hold harmless from and against any and all losses, damages, demands, judgments, costs and expenses (including litigation costs and reasonable attorneys' fees) arising out of or in connection with any claim, demand, action or other proceeding brought against us, to the extent such claim, demand, action or other proceeding is based on or arises out of: (a) any breach of any representation, warranty, covenant or agreement to be made by Provider in accordance with this Provider Agreement ; (b) Provider's provision of the Provider Agreement to a third party, regardless of whether or not they are Users of the Platform service; or (c) any material that the Provider has posted on or through the Platform and/or any content provided by the Provider to Users. The Provider accepts and undertakes not to violate any applicable local, state, national or international law, statute, ordinance, rule, regulation or code of ethics in relation to the use of the Platform and the Provider's relationship with Users and with us. Supplier also agrees and agrees not to engage in conduct that is harmful, unethical, fraudulent, deceptive, or offensive.

Provider Account and Responsibilities

You agree, confirm, and acknowledge that you are responsible for maintaining the confidentiality of your password and any other security information associated with your account (collectively, "Account Access"). We advise you to change your password frequently and take special care to protect your password. You agree to notify us immediately of any unauthorized use of your Account Access or any other concerns about a breach of your account security. You agree, confirm and acknowledge that we will not be liable for any loss or damage incurred as a result of someone else using your account, whether with or without your consent or knowledge. You agree, confirm, and acknowledge that you are solely and fully responsible for all activities that occur while using your Account Access. You further acknowledge and agree that we will hold you responsible for any damage or loss incurred as a result of the use of access to your account by anyone authorized by you or not, and you agree to indemnify us for such damage or loss._cc781905-5cde-3194- bb3b-136bad5cf58d_You agree and agree not to use the account or Account Access of any other person for any reason. You agree and confirm that your use of the Platform, including the Provider Services, is made directly by you and that you are not using the Platform or the Provider Services for any other person or organization. You agree and agree not to interfere with or disrupt, or attempt to interfere with or disrupt, any of our systems, services, servers, networks, or infrastructure, or any of the Platform's systems, services, servers, networks, or infrastructure, including without limitation gain unauthorized access to the aforementioned. You agree and agree not to make any use of the Platform for the posting, sending or delivery of any of the following: (a) unsolicited email and/or advertising or promotion of goods and services; (b) malicious software or code; (c) unlawful, harassing, invasive of privacy, abusive, threatening, vulgar, obscene, racist, or potentially harmful content; (d) any content that infringes a third party's right or intellectual property; (e) any content that may cause harm to a third party; (f) any content that could constitute, provoke or encourage criminal action or violate any applicable law. If you receive a file from us or from a User, whether through the Platform or not, you agree to check and scan this file for viruses or malware before opening or using this file. You will indemnify, defend, and hold us harmless from any and all claims, losses, causes of action, demands, liabilities, costs, or expenses (including, without limitation, litigation and reasonable attorneys' fees and expenses) arising out of of or relating to any of the following: (a) your access to or use of the Platform; (b) any action taken with your account or access to the account, whether by you or by another person; (c) your violation of any provision of this Agreement; (d) failure to pay for any of the services (including Provider Services) that were provided through the Platform; (e) your violation of any right of a third party, including, without limitation, any intellectual property right, publicity, confidentiality, property, or privacy right. This clause shall survive the expiration or termination of this Agreement.

Modifications, termination, interruption and alterations of the platform

You agree, confirm and acknowledge that we may modify, suspend, discontinue or discontinue the Platform, any part of the Platform or the use of the Platform, whether for all users or for you specifically, at any time with or without notice. Fees and payments

The provider will receive payment for the provision of the provider's services to users.

Rates, fees, payment options and payment schedules for payments are established on the platform and are established and determined solely by us and may be modified at our sole discretion. The Provider is solely responsible for reporting and paying any applicable taxes related to the use of the Platform by the Provider. Any dispute or claim for payment must be submitted within 30 days of discovery of any error. If a User has made a User Payment but then recharged such payment for any Reason or received (at our sole discretion) a refund for such payment (collectively "Refunded Payments"), we will not pay those refunded Payments _d04a07d8-9cd1- 3239-9149-20813d6c673b_​to the Provider and if the money has already been delivered to the Provider, the Provider will be required to return this amount to us. The Provider accepts and undertakes to notify us immediately in any case that the Provider provides any service to the User, not through the Platform or in any case, the Provider does not invoice through the user or in any case that the user makes a payment to the Provider, not through the Platform. Notices. We may send you notices or other communications about this agreement or any aspect of the Platform, by email to the email address we have on file, by regular mail, or by posting online. Important Notes About Our Agreement

Nothing in this Agreement shall be construed to mean that either party is the partner, joint venture, agent, legal representative, employer or employee of the other party. This Agreement and our relationship with you shall be construed solely in accordance with the laws of El SAlvador, excluding any rules governing choice of laws. You irrevocably agree that the exclusive place for any action or procedure arising from the relationship with this Agreement or our relationship with you, regardless of theory, will be the Court assigned by the company Psintegra or the state courts located in San Salvador. You irrevocably consent to the personal jurisdiction of the aforementioned courts and waive any objection to the exercise of jurisdiction by the aforementioned courts. THIS AGREEMENT CONSTITUTES THE ENTIRE AGREEMENT BETWEEN YOU AND US. YOU CONFIRM THAT YOU HAVE NOT RELIED ON ANY PROMISE OR REPRESENTATION FROM US, EXCEPT AS SET FORTH IN THIS AGREEMENT. We may change this Agreement by posting changes on the Platform. Unless we specify otherwise, all modifications will be effective upon posting. Therefore, we recommend that you review the terms of this Agreement frequently. The last update date of this Agreement is located at the end of the Agreement. By using the Platform after the changes become effective, you agree to be bound by such changes in the Agreement. If you do not accept the changes, you must terminate access to the Platform and participation in its services. We may freely transfer or assign this Agreement or any of your obligations hereunder. Paragraph headings in this Agreement are for convenience only and shall not apply in the interpretation of this Agreement.

If any provision of this Agreement is held by a court of competent jurisdiction to be illegal, invalid, unenforceable, or contrary to law, the remaining provisions of this Agreement will remain in full force and effect. For the avoidance of doubt, all provisions regarding limitations of liability and indemnification shall survive the termination or expiration of this Agreement.
